Deepak Varshney, P.Geo – Chief Executive Officer

Deepak Varshney is a professional geologist and has over 10 years of experience in the capital markets and mineral exploration and development sector. He is presently CEO and a Director of Usha Resources Ltd., a gold and copper-focused junior mining exploration company. Mr. Varshney is also the CEO of Castello Q, a boutique real estate firm that focuses on luxury single-family housing and multi-family developments. He has developed long-standing relationships with an extensive network of high net worth retail investors, brokers, and private equity groups.

Dwayne Yaretz – Corporate Secretary

Mr. Yaretz is a seasoned entrepreneur with more than 25 years experience in corporate leadership. Mr. Yaretz has acted for several private and publicly traded companies in various capacities including President, CEO and Corporate Secretary and is experienced in mergers and acquisitions as well as the financing of numerous ventures, both private and public. Mr. Yaretz has structured Initial Public Offerings and Reverse Takeovers in various business sectors, including mining exploration, technology and manufacturing. Mr. Yaretz has also served on various Boards of Directors, including technology companies involved in clean-tech, agri-business, sustainable packaging technologies, consumer electronics and state-of-the-art thermal and infrared imaging cameras deployed in the security and industrial sectors.


Zara Kanji, CPA – Chief Financial Officer

Zara is a Member of the Chartered Professional Accountants of BC., August 2003, and is a founder of Zara Kanji & Associates, CPA. (est. 2004). Zara is experienced in financial reporting compliance for junior listed companies, taxation, general accounting, financial reporting and value-added advisory services for individuals, private and public companies. Zara has served as director and officer for listed issuers providing reporting compliance services for financing and acquisitions.


James Hirst, BComm – Director

Mr. Hirst is a business executive with over 40 years’ experience in corporate governance in Canada and the United States. He has a strong regulatory background and extensive experience with public companies including corporate structure, initial public offerings, secondary public offerings, private offerings, reverse takeovers, and reporting compliance. Additionally, Mr. Hirst has experience in all aspects of management having acted as a director, President and CEO of several public companies involved in a variety of corporate undertakings. These include the set-up and manufacture of food products, fuel products, real estate, aerospace, as well as mineral and oil and gas exploration.

Mr. Hirst founded Canova Resources Ltd., which successfully drilled the Yellow Jacket property near Atlin, British Columbia, Canada, resulting in a significant hard rock gold discovery and subsequent option agreement to the Homestake Mining Company.

As a director of Rock Resources Inc., his responsibilities included the development of a corporate strategy and business plan for acquisition, exploration and development of a world class copper porphyry mineral project in Chile.

Mr. Hirst graduated in 1979 from the University of British Columbia with a Bachelor of Commerce degree (Accounting & Management Information Systems) while he was a member of the Royal Canadian Mounted Police Commercial Crime Section. He has completed the RCMP Senior Investigators Course and the Canadian Securities Course.


James Walker, – Director 

Mr. Walker has extensive experience in engineering and project management; particularly within mining engineering, mechanical engineering, construction, manufacturing, engineering design, infrastructure, safety management, and nuclear engineering. He is currently the CEO and President and Director of Ares Strategic Mining and a Director of Bayhorse Silver Inc., both TSX Venture Exchange listed issuers, and a director of Orcus Resources Ltd. His previous experience includes his time at Lithium Energy Products where he oversaw the exploration of multiple lithium projects.

Mr. Walker’s professional experience includes designing nuclear reactors, submarines, chemical plants, factories, mine processing facilities, infrastructure, automotive machinery, and testing rigs.

Mr. Walker holds degrees in Mechanical Engineering, Mining Engineering, and Nuclear Engineering, as well as qualifications in Project Management and Accountancy, and is a Chartered Engineer with the IMechE, and registered as a Project Manager Professional with the APM.

Adrian Smith, – Director

Mr. Smith is currently the CEO of ArcPacific Resources Corp. and President, director of M3 Metals Corp., director of Go Metals Corp. and a director of Usha Resources Ltd. Mr. Smith is a professional geologist with over a decade of experience in the capital markets and mineral exploration and development sector. He has successfully executed multiple exploration programs and corporate strategies, including the acquisition, development and optioning of the Mohave Gold project in Arizona, USA during his time as CEO of M3 Metals Corp.

Michael Dehn – Chief Advisor

Mr. Dehn has over 25 years of solid experience in Canada’s exploration and mining industry. Between 1994 and 2005, he worked as an exploration geologist and later became senior geologist with Goldcorp. During his 11-year tenure with Goldcorp, Mr. Dehn played a vital role in Goldcorp’s regional exploration programs within the Red Lake gold district of Northern Ontario, as well as with the Goldcorp challenge, where all of Goldcorp’s Red Lake Mine data were shared with the public and outside experts had the opportunity to win prizes totalling $575,000 if they were able to help identify and locate the next six million ounces of gold within the Red Lake mine. His expertise lies in grassroots to advanced mineral exploration, and advancing, marketing and financing junior exploration companies with dynamic potential.

As a geologist, Mr. Dehn is considered by many in the gold mining and exploration industry to be one of the foremost authorities understanding the various idiosyncrasies of the Red Lake gold camp and the many surrounding gold districts. In his previous roles with other successful mining and junior exploration companies, Mr. Dehn has been instrumental in positioning the junior gold exploration company for both strategic and operational successes very rapidly under his guidance. Mr. Dehn has proven himself as a visionary, gold discoverer and trusted adviser, by introducing unique and strategic investor groups, often outside of the mining arena, to new world-class exploration opportunities within proven and newly emerging gold camps in Ontario, Canada.


Eric Allard, P.Eng.

Mr. Allard is a geological engineer with 20 years’ experience in project and operations management for exploration mining, oil & gas and construction engineering. Mr. Allard has held various positions as VP operations in junior mining companies in Canada and Africa and has been managing a geophysical services company in Canada for the last 10 years. He has participated in all levels of company management from sales and business management to technical project management. He is a member in good standing of the Ordre des Ingénieurs du Québec.


Donald Baxter, P.Eng.

Don Baxter is one of the premier graphite experts outside of China, having built one of only two producing graphite mines in North America. Don is presently Chief Executive Officer and Director of Applied Graphite Technologies. He is also a Director is Ceylon Graphite (TSXV:CYL). Prior to this, Don served as President, CEO and Executive Director of Alabama Graphite Corp, successfully completing the company’s disruptive Preliminary Economic Assessment (PEA) and introducing a new, battery-focused strategy. As President and Chief Operating Officer of Focus Graphite Inc., Don led Focus Graphite to wide recognition in the graphite industry, updated the company’s PEA and advanced the company to a completed Feasibility Study. He was also responsible for rapidly advancing the development of value-added graphite products, namely coated spherical purified graphite for the lithium-ion battery sector.

Don served as President of Northern Graphite Corporation and was responsible for all technical aspects relating to the Bissett Creek graphite project, including the company’s Feasibility Study, metallurgical test work, environmental and mine permitting, as well as developing battery-related graphite products. Don also served as Mine Superintendent at the Kearney Graphite Mine and was Director of Mining at Ontario Graphite Ltd. Don holds a degree in Mining Engineering from Queen’s University, is a past member of the Board of Directors of the National Association of Advanced Technology Batteries International (NAATBatt International) — a US-based not-for-profit trade association commercializing advanced electrochemical energy-storage technology for emerging, high-tech applications — and is a ‘Qualified Person’ as defined by National Instrument 43-101 (NI 43-101) guidelines.


Paul McGuigan, P.Geo.

Mr. McGuigan is a Professional Geoscientist, has 45 years of international experience in economic geology and mineral exploration management, spanning grassroots exploration through to mine feasibility studies and mining operations. Early in his career, he was employed by IBM Canada Ltd., Geological Survey of Canada, Pechiney Ugine Kuhlmann, Imperial Oil, and Esso Minerals Canada. For the last thirty-four years, Mr. McGuigan has operated in West Africa, the Middle East, SW Pacific, and all North and South America. His geological expertise includes iron oxide-copper-gold (IOCG), volcanogenic massive sulphide, porphyry Cu-Mo-Au, epithermal and orogenic gold, platinum, and diamond deposits. He was a founder of Diamond Quest Laboratories. He has held directorship positions in several publicly listed mining companies and is experienced with corporate governance, multi-party negotiations, public disclosure, compliance, and fund-raising for mineral exploration and mine development projects. In the public service, he was a member of the Consulting Practice and the Geoscience Committees of the Engineers and Geoscientist of BC, and President of the BC Centre for Ability Foundation.


Andrew Tims, P.Geo

Andrew Tims is a Registered Professional Geologist in Ontario and Manitoba and a Qualified Person under NI 43-101.  He is an exploration geologist with more than 30 years of experience working throughout Manitoba, Ontario and Quebec, spending significant time the in Kirkland Lake-Timmins, Red Lake gold camps plus the Wabigoon area of Northwest Ontario where Usha Resources’ Nicobat Project is located.  He has worked for Major companies including Teck Resources and Hemlo Gold Mines in Hemlo gold camp, as well as junior exploration companies before joining Rainy River Resources, in 2006, as a senior exploration geologist until it was taken over by New Gold in 2013. Andrew was part of the exploration team that developed the Rainy River resource from 550 000 ounces of gold in 2005 to over six million when it was acquired by New Gold.  

Andrew has lead and  managed a number of successful exploration projects over the last 30 years covering a number of commodities including platinum group metal (reef) exploration for Aurora Platinum Corp in the far north of Ontario to kimberlite exploration in the Timiskaming structural zone for Tres-Or Resources to volcanogenic massive sulphide exploration in the western Wabigoon for Abitibi Mining Inc. Andrew is a past president of the Porcupine Prospectors Association and a past director of the Ontario Prospectors Association plus a former director of Gold Bullion Development Corp.
